Description

The numbers in an annual report are audited. The chairman's letter is not.

It is the one page where the people running your money choose their own words, and words leak. An American analyst named Laura Rittenhouse spent twenty years proving it: she scored CEO letters for candor and read Enron's fog months before the stock fell from sixty dollars to sixty cents. Warren Buffett called her work "the work of angels." Her discipline was never brought to India's letters. This book picks up the red pen.

Read the Letter runs every Nifty 50 chairman's letter through a candor scorecard, three years deep, and finds a staircase hiding in plain sight. One letter scored 97 out of 100. Household-name companies scored in the teens. One of India's biggest scored 27, and it was not a bad year; it was a three-year slide. Kotak went 32, then 40, then 69 over the same stretch. Same index, same rubric, opposite directions.

India needed its own instruments, because this market runs on promoters, pledged shares and related-party deals: the places minority shareholders quietly get hurt. So the method adds three of them: the Promoter-Governance Lens, the Promise Ledger and the Vacuum Test.

Inside: the FOG lexicon and the ten tests, a red-pen method you can run on any letter in about twenty minutes; the Gallery: five real letters, graded A to F, taken apart line by line; the full FY25 league table and three years of movement for all fifty companies; the Letters Before the Fall: the warm, confident letters that Satyam, IL&FS, DHFL, Yes Bank and Coffee Day published before they collapsed; a workbook for the CEOs, CFOs and IR teams who hold the pen; and a technical appendix scoring all fifty letters, dimension by dimension.

It is a short book, honest enough to publish the one back-test that refused to cooperate. Because in a market built on promoter letters, reading the letter is not a nice-to-have skill. It is protective equipment.

Financial literacy is financial self-defence. The market cannot thug you if you can read.

About the Author

Amit Gopal is a CERTIFIED FINANCIAL PLANNER and financial coach based in Mumbai.

After years of coaching people through the aftermath of investments that went quietly wrong, he noticed the same pattern again and again: the warning was almost never in the numbers. It was in the language. That observation became the India Candor Scorecard, the first project to score the chairman's letters of all fifty Nifty companies for candor against fog, and then to do it three years deep.

He believes financial literacy is financial self-defence, and that the most useful skill an Indian investor can build is the ability to read between the lines of what management chooses to say.
